Resolution 1
Resolution 1 proposes the termination of Jump Networks Ltd (Jump Networks) as a member with immediate effect.
Having carefully considered the history of engagement, the repeated attempts to resolve matters over a number of years, the impact on employees, the resources required, and the interests of the wider membership, the Board has unanimously concluded that continuing the relationship between LINX and Jump Networks is no longer in the best interests of LINX or its members.
This was not a decision that we have taken lightly, nor was it a response to any single situation. It reflects the Board’s collective and considered judgement following a prolonged period of engagement, during which reasonable opportunities to establish a sustainable working relationship have been explored without success.
Over time, the Board have become increasingly concerned that due to the tone and scale of interactions, and the associated impact on staff wellbeing, LINX management have felt the need to introduce bespoke processes to respond to the many and varied complaints and demands submitted by Jump Networks. These complaints have covered a broad range of topics, including governance arrangements, billing interpretations and operational procedures.
Communications between LINX and Jump Networks have regularly been quoted by Jump, both to staff and in public forums, in an accusatory manner which is inconsistent with the collaborative approach LINX strives to adopt when working with members to resolve issues. This has created additional pressure on staff and has contributed to concerns regarding the sustainability of the working relationship.
LINX is operating in a challenging market and subject to financial pressure. The Board considers it important that management resources be focussed on delivering the commercial strategy to maintain and improve the quality, range and prices of the services it offers to members.
The Board has unanimously concluded that it is no longer in the best interests of the company or its staff to continue a commercial relationship with Jump Networks, and have instructed the Chief Executive to suspend Jump Networks’ membership of LINX after giving the contractually-required period of notice.
Under the Membership Agreement, formal termination of membership is subject to a ratifying vote in General Meeting. The Board therefore respectfully requests that the membership ratify this decision by passing Resolution 1.
Resolution 2
Resolution 2 approves the Board remuneration schedule for 2027: https://www.linx.net/wp-content/uploads/2026/10/Board-Remuneration-2027-Final85.pdf
This schedule specifies the remuneration for elected LINX Board members, conforming to
Article 58.
